Terms of Use

[TODO: legal review] Draft wording: a lawyer has not reviewed this page yet.
[TODO: legal review]
These terms cover your use of shikinox.com and the free tools on it. They are short because the site is simple. Work we do for clients is governed by a separate written agreement, described at the end of this page.
Who we are
Shikinox is a founder-led engineering studio and a registered business. [TODO: registered legal name and jurisdiction]
Acceptance
By using this site you agree to these terms and to our privacy policy. If you do not agree, please do not use the site. We may update these terms from time to time; the effective date at the top shows the current version.
Permitted use
You may browse the site, read its content, send us a project brief, join a waitlist and use the free tools for their intended purpose.
You may not:
- use the site in a way that breaks the law or infringes anyone's rights
- scrape, crawl or copy the site other than through normal search engine indexing
- attempt to bypass rate limits, spam protection or any security measure
- submit false, misleading or malicious content through any form
- use automated means to submit forms or to query Ask Shikinox or any free tool
- reverse engineer, probe or disrupt the site or its infrastructure
We may block access to the site, without notice, if we believe these rules are being broken.
Intellectual property of the site
The site's design, text, code, logo, the Horizon mark, the shikinox wordmark and the images we created are owned by Shikinox. You may not reuse them without written permission, except for brief quotations with attribution.
Project descriptions on the work pages describe work our founder has led, by industry only. They do not identify clients and nothing on those pages is a client endorsement.
Content you send us, such as a project brief or a question, stays yours. You give us permission to use it to reply to you. [TODO: confirm whether Ask Shikinox questions are stored or used to improve answers]
Free tools and Ask Shikinox
Roast My App, the team planner and Ask Shikinox are provided free and as they are. Specifically:
- Roast My App reads public app store reviews and returns an automated summary, a health score and suggested fixes. The score and suggestions are generated output, not a professional audit, and may be wrong or incomplete.
- The team planner suggests a team shape from the inputs you give it. It is a starting point for a conversation, not a quote. Every engagement is priced as a custom quote after a call.
- Ask Shikinox gives preview answers drawn from a curated FAQ. Preview answers are informational and do not form part of any offer or agreement.
Do not rely on any output from these tools to make a business decision without checking it. If you want a real assessment, send a brief and we will give you a written scope.
No warranties
The site and the free tools are provided without warranty of any kind, whether express or implied, including any warranty of accuracy, availability, fitness for a particular purpose or non-infringement. We try to keep the site accurate and available but we do not promise that it will be, or that it is free from errors or interruptions.
Limitation of liability
To the fullest extent permitted by law, Shikinox is not liable for any loss or damage arising from your use of the site or the free tools, including indirect, consequential or incidental loss, loss of profit, loss of data or business interruption. Nothing in these terms limits liability that cannot be limited by law.
Links to third parties
The site links to third-party sites and services, including social profiles, WhatsApp, app stores and our service providers. We do not control those sites and are not responsible for their content or their privacy practices. Links are not endorsements.
Governing law
[TODO: governing law and venue]
Severability and entire agreement
If any part of these terms is found unenforceable, the rest still applies. These terms and the privacy policy are the entire agreement between you and Shikinox for your use of the site. They do not cover client work, which is addressed below.
Client engagements are governed by a separate agreement
Nothing on this site is an offer to provide engineering services. When we work together, the relationship is set out in a written agreement signed by both sides before work begins. A few things are fixed in every engagement, as described on our pricing page:
- NDA first. We sign a non-disclosure agreement before you share any details, and everyone on the project signs one too.
- You own the code. All code, designs and IP transfer to you as we go, in your repositories.
- Clear invoicing. Monthly invoices for dedicated teams or milestone payments for fixed-scope projects, paid by international bank transfer in USD or CAD.
- Written scope. After a free call you receive a written scope within 48 hours.
The engagement agreement, not these website terms, governs scope, fees, timelines, warranties and liability for client work. If anything on this site appears to conflict with a signed engagement agreement, the agreement wins.
